These Terms of Service ("Terms") govern your access to and use of the SlabOS platform, including the website at slabos.org, the web application, APIs, and all related services (collectively, the "Service") operated by SlabOS ("we", "our", or "us").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity.

1. Service Description

SlabOS is a software-as-a-service (SaaS) platform designed for countertop fabrication businesses. The Service provides tools for creating and managing countertop quotes, interactive 2D and 3D drawing, job management, customer relationship management, material and slab inventory tracking, pricing configuration, and AI-powered business intelligence.

We reserve the right to modify, update, or discontinue features of the Service at any time. For material changes that significantly affect your use of the Service, we will provide at least 30 days advance notice via email or in-app notification.

2. Account Registration and Security

To use the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information to keep it accurate
  • Keep your password secure and confidential
  • Immediately notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

You may create accounts for employees or team members within your organization. As the account owner, you are responsible for the actions of all users you authorize and for ensuring they comply with these Terms.

We reserve the right to suspend or terminate accounts that have been inactive for more than 12 consecutive months, with 30 days prior notice sent to the registered email address.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload or transmit malicious code, viruses, or harmful data
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Scrape, crawl, or use automated means to extract data from the Service without authorization
  • Resell, sublicense, or redistribute the Service to third parties without our written consent
  • Use the Service to store or process data that violates applicable privacy laws
  • Misuse the AI features by submitting content designed to manipulate, jailbreak, or exploit the AI system

Violation of this policy may result in immediate suspension or termination of your account.

4. Intellectual Property

4.1 Our Platform

The Service, including all software, design, graphics, user interface, documentation, algorithms, and underlying technology, is owned by SlabOS and is protected by Canadian and international intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited license to use it as described here.

4.2 Your Data

You retain full ownership of all data, content, drawings, quotes, customer records, and other information you input into the Service ("Your Data"). We do not claim any ownership rights over Your Data. You grant us a limited, non-exclusive license to process, store, and display Your Data solely for the purpose of providing the Service to you.

4.3 Feedback

If you provide us with suggestions, feature requests, or other feedback about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback to improve the Service without obligation to you.

5. Data Ownership and Portability

We believe your business data belongs to you. In addition to retaining full ownership:

  • You may request a complete export of Your Data at any time by contacting admin@slabos.org
  • Data exports are provided in standard, machine-readable formats (JSON and CSV)
  • We will process export requests within 14 business days
  • Upon account termination (whether initiated by you or by us), we will provide you the opportunity to export Your Data before deletion, as described in Section 9

We will never hold your data hostage or impose unreasonable fees for data export.

6. Subscription and Billing

6.1 Plans and Pricing

The Service is offered on a subscription basis. Current plans, features, and pricing are available on our website. We reserve the right to change pricing with at least 30 days notice before the start of your next billing cycle.

6.2 Payment

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All payments are processed securely through Stripe. You agree to provide valid payment information and authorize recurring charges for your subscription period.

6.3 Free Trials

We may offer free trial periods at our discretion. At the end of a trial, your account will be converted to a paid subscription unless you cancel before the trial expires. We will send a reminder before the trial ends.

6.4 Refunds

Subscription fees are generally non-refundable. However, if you are dissatisfied with the Service during your first 30 days as a paying customer, you may request a full refund by contacting admin@slabos.org.

6.5 Taxes

Stated prices do not include applicable taxes. You are responsible for paying any sales tax, GST, HST, or other taxes imposed by your jurisdiction. We will collect and remit taxes where required by law.

7. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, infrastructure updates, or circumstances beyond our reasonable control.

For scheduled maintenance that may affect availability, we will provide at least 24 hours advance notice when possible. We will make reasonable efforts to schedule maintenance during off-peak hours.

Support is available via email at support@slabos.org. We aim to respond to support requests within one business day.

8. Limitation of Liability

8.1 Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your specific requirements, that the Service will be uninterrupted, timely, secure, or error-free, or that the results obtained from using the Service will be accurate or reliable.

8.2 Limitation

To the maximum extent permitted by applicable law, in no event shall SlabOS, its directors, employees, partners, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amount you paid to us in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).

8.3 AI Features

The AI-powered features of the Service are provided as productivity tools and should not be relied upon as the sole basis for business decisions. AI-generated outputs (such as business intelligence queries, pricing suggestions, and data analysis) may contain inaccuracies. You are responsible for reviewing and validating AI outputs before acting on them.

9. Termination

9.1 Termination by You

You may cancel your subscription and terminate your account at any time through your account settings or by contacting admin@slabos.org. Upon cancellation, your access will continue until the end of your current billing period. No refunds will be issued for partial billing periods unless covered by the 30-day satisfaction guarantee in Section 6.4.

9.2 Termination by Us

We may suspend or terminate your access to the Service immediately if you materially breach these Terms, engage in prohibited activities, fail to pay subscription fees after reasonable notice, or if we are required to do so by law. For non-critical breaches, we will provide 14 days written notice and an opportunity to cure before termination.

9.3 Data Export on Termination

Upon termination for any reason, we will provide you with a 30-day data export window during which you may request a full export of Your Data. After the export window closes, Your Data will be scheduled for permanent deletion in accordance with our Privacy Policy. If termination was initiated by us due to a breach, we may restrict account access but will still honor data export requests.

10. Indemnification

You agree to indemnify, defend, and hold harmless SlabOS and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any data or content you submit to the Service.

11. Dispute Resolution

In the event of a dispute arising from or relating to these Terms or the Service, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute is not resolved within 30 days of written notice, either party may pursue resolution through the courts of competent jurisdiction.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in the Province of Manitoba, Canada for the resolution of any disputes arising under these Terms.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SlabOS regarding the Service and supersede all prior or contemporaneous agreements, understandings, or representations.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of SlabOS.

13.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets, provided the assignee agrees to honor these Terms.

13.5 Notices

Notices to SlabOS should be sent to admin@slabos.org. Notices to you will be sent to the email address associated with your account. Notices are deemed received when sent by email.

13.6 Changes to Terms

We may modify these Terms at any time. When we make material changes, we will notify you at least 30 days before the new terms take effect by email or prominent in-app notice. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree with the changes, you may cancel your subscription and terminate your account.
